Terms of Service

These terms govern your use of the Compound Co website (compound-co.com.au) and any services provided by Compound Co (ABN 72 191 167 654).

By using this website or engaging our services, you agree to these terms. We've written them in plain English so you actually know what you're agreeing to.

Effective date: 1 March 2026

1. Our Services

Compound Co provides web design, digital marketing, ecommerce, custom software, and automation services for businesses. We operate five service lines:

  • Compound Web -- Website design and development
  • Compound Marketing -- SEO, content marketing, and digital advertising
  • Compound Shops -- Ecommerce store design and development
  • Compound Software -- Custom web applications and SaaS development
  • Compound Automation -- Business process automation and system integration

This website provides information about our services and allows you to get in touch via our contact form. Individual service engagements are governed by separate project agreements that supplement these terms.

What this means: This covers using our website. If you hire us for a project, you'll also get a project-specific agreement with the details.

2. Australian Consumer Law

Our services come with guarantees that cannot be excluded under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)).

Nothing in these terms limits or excludes the consumer guarantees under the Australian Consumer Law. These include guarantees that services will be:

  • Provided with due care and skill
  • Fit for a particular purpose (where that purpose is made known)
  • Supplied within a reasonable time

If our services fail to meet a consumer guarantee, you may be entitled to a remedy including repair, replacement, or refund, depending on the nature and severity of the failure.

We do not impose blanket "no refund" policies. Your refund rights depend on the circumstances and are protected by law.

What this means: Australian law protects you as a consumer. These terms don't override those protections. If we don't deliver what we promised, you have rights -- and we respect them.

3. Intellectual Property

Website Content

All content on the Compound Co website -- including text, design, graphics, and code -- is owned by Compound Co unless otherwise stated. You may not reproduce, distribute, or use this content without our written permission.

Client Work

For service engagements:

  • Ownership transfers to you upon full payment. Once your project is paid in full, the deliverables (designs, code, copy, assets) are yours.
  • Pre-existing tools and frameworks that we use across multiple projects (internal libraries, development tools, templates) remain our property. You receive a perpetual licence to use them as part of your deliverables.
  • Portfolio rights: We may showcase the work in our portfolio and marketing materials, with your permission. We'll always ask before featuring your project publicly.

What this means: Once you've paid in full, the work is yours. We might show it in our portfolio with your OK. Our internal tools stay ours, but you can keep using them in what we built for you.

4. Limitation of Liability

To the maximum extent permitted by law, Compound Co's total liability for any claim arising from our services is limited to the amount you paid us for the specific service giving rise to the claim.

We are not liable for:

  • Indirect, consequential, or incidental losses (including lost revenue, lost data, or business interruption)
  • Issues caused by third-party services, platforms, or hosting providers outside our control
  • Results or outcomes that depend on factors beyond our control (e.g., market conditions, search engine algorithm changes)

This clause does not exclude or limit our liability for consumer guarantees under the Australian Consumer Law, or for any other liability that cannot be excluded by law.

What this means: We stand behind our work, but we can't be responsible for things outside our control. Australian Consumer Law protections always apply.

5. Payment Terms

For service engagements:

  • Currency: All prices are in Australian dollars (AUD).
  • GST: Prices are GST-exclusive unless stated otherwise. GST (10%) will be added to all invoices where applicable.
  • Payment schedule: We invoice at project milestones agreed in your project agreement. We don't ask for full payment upfront.
  • Payment terms: Invoices are due within 14 days of issue unless otherwise agreed in your project agreement.
  • Late payment: If payment is overdue by more than 14 days, we may pause work on your project until payment is received. We'll always contact you before taking this step.

What this means: All prices are in Australian dollars. We invoice at milestones, not all upfront. If a payment is late, we'll talk to you about it before pausing work.

6. Termination

Either party may end a service engagement with 14 days' written notice.

If you end the engagement:

  • You keep all deliverables that have been completed and paid for.
  • Work in progress that has not been paid for remains our property until payment is made.
  • We will invoice for any completed work up to the termination date.

If we end the engagement:

  • We will deliver all completed work to you.
  • We will not charge for incomplete work.
  • We will provide reasonable handover support to ensure continuity.

What this means: Either side can end the engagement with written notice. You keep what's been delivered and paid for. We'll always make the handover smooth.

7. Website Use

When using the Compound Co website, you agree not to:

  • Attempt to gain unauthorised access to any part of the website or its systems
  • Use the website for any unlawful purpose
  • Submit false or misleading information through our contact form
  • Use automated tools to scrape or extract content from the website (except as permitted by our robots.txt)

We reserve the right to block access to our website if we reasonably believe these terms have been violated.

What this means: Use the website normally and honestly. Don't try to break it or misuse it.

8. Privacy

Your privacy matters. We collect and handle personal information in accordance with the Australian Privacy Act 1988.

What this means: We take your data seriously. Our Privacy Policy has the full details.

9. Governing Law

These terms are governed by the laws of the Commonwealth of Australia.

Any disputes arising from these terms or our services will be subject to the exclusive jurisdiction of the courts of Australia.

We both agree to attempt to resolve any disputes through direct communication before pursuing formal legal action.

What this means: If there's ever a dispute, Australian law applies. We'll always try to sort things out directly first.

10. Changes to These Terms

We may update these terms from time to time. When we do:

  • We'll update the "Effective date" at the top of this page.
  • We'll post a notice on our website if the changes are significant.
  • Your continued use of our website or services after changes are posted constitutes acceptance of the updated terms.

The latest version of these terms is always available at compound-co.com.au/terms.

What this means: If we update these terms, we'll make it clear. The latest version is always on this page.
